Effective Date: September 1, 2025
1.1 These Terms of Service (“Terms”) govern the use of the Compass Shield portal and all related services offered by Compass Point Assist (“CPA”), including membership services, assistance, and any optional insurance products purchased in connection therewith.
1.2 By purchasing a Compass Shield membership, creating a portal account, or using the services, the Member accepts these Terms.
2.1 Compass Shield is a membership program providing access to risk advisory, pre-travel information, and 24/7 assistance services.
2.2 Optional insurance products may be purchased together with the membership. Such insurance terms and policies are issued by licensed insurers and shall prevail over these Terms in the event of any inconsistency.
2.3 CPA is not an insurance company, is not registered as an insurance intermediary under §34d GewO, and does not provide insurance advice.
3.1 Membership is provided on a per-trip basis, with the validity period specified at the time of purchase.
3.2 Membership commences upon confirmation of payment and is only active for the period booked.
3.3 Refunds are excluded once the membership period has commenced, except where required by applicable law or explicitly provided for in the applicable insurance policy purchased with the membership.
4.1 Members may be required to register for a portal account.
4.2 Members must provide accurate and complete information at the time of registration and throughout the membership term.
4.3 Accounts are personal, non-transferable, and may not be shared. The Member is responsible for safeguarding login credentials.
5.1 Assistance services are accessible via the emergency contact number or email contact.
5.2 The assistance services are supplementary and do not replace local public emergency services (e.g., dialing 112 within the EU).
5.3 CPA undertakes commercially reasonable efforts to provide timely support, but makes no guarantee that risks or emergencies will be prevented, avoided, or resolved.
5.4 Services may be limited by factors outside CPA’s control, including but not limited to local infrastructure, political conditions, force majeure events, or third-party cooperation.
6.1 Membership is not available to citizens of Iran, North Korea, Cuba, Venezuela, Syria, Russia, or Belarus who also reside in Iran, North Korea, Cuba, Russia, or Belarus.
6.2 CPA reserves the right to refuse or cancel membership if providing services would breach applicable sanctions, embargoes, or trade restrictions.
6.3 Members represent and warrant that their participation does not violate such laws.
7.1 CPA processes personal data in compliance with applicable data protection law, including the General Data Protection Regulation (GDPR).
7.2 Members consent to the collection, processing, and transfer of personal data where necessary for membership administration, assistance delivery, and coordination with insurers.
7.3 Further information is set out in CPA’s Privacy Policy, which forms part of these Terms.
8.1 All content within the Compass Shield portal, including texts, graphics, designs, risk maps, and underlying software, is owned by CPA or its licensors.
8.2 No rights are granted to the Member other than those necessary to access and use the services. Reproduction, redistribution, or modification without CPA’s consent is prohibited.
9.1 CPA shall not be liable for indirect, incidental, or consequential damages, including but not limited to lost profits, loss of data, or business interruption.
9.2 CPA’s liability for direct damages arising under these Terms shall, to the extent permitted by law, be limited to the membership fee paid.
9.3 Nothing in these Terms shall exclude liability for death or personal injury caused by gross negligence or willful misconduct, or liability which cannot lawfully be excluded.
CPA shall not be liable or deemed in default for failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, war, civil unrest, terrorism, embargoes, pandemics, strikes, government restrictions, or failure of telecommunications or utilities.
11.1 CPA may suspend or terminate membership or portal access if the Member breaches these Terms, provides false information, or engages in misuse or fraud.
11.2 CPA may also suspend services where required by law, sanctions, or applicable regulations.
12.1 These Terms shall be governed by and construed under the laws of Germany, without regard to its conflict of laws rules.
12.2 The place of jurisdiction shall be Munich, Germany, unless mandatory consumer protection laws require otherwise.
13.1 CPA may amend these Terms from time to time to reflect legal, regulatory, or operational requirements.
13.2 Members will be notified of material changes in advance and continued use of services after such changes constitutes acceptance.
